第四十四條本基金會(huì)進(jìn)行年檢、換屆、更換法定代表人以及清算，應(yīng)當(dāng)進(jìn)行財(cái)務(wù)審計(jì)。

第四十五條本基金會(huì)按照《基金會(huì)管理?xiàng)l例》規(guī)定接受登記管理機(jī)關(guān)組織的年度檢查。

第四十六條本基金會(huì)通過登記管理機(jī)關(guān)的年度檢查后，將年度工作報(bào)告在登記管理機(jī)關(guān)指定的媒體上公布，接受社會(huì)公眾的查詢、監(jiān)督。

第五章終止和剩余財(cái)產(chǎn)處理

第四十七條本基金會(huì)有以下情形之一，應(yīng)當(dāng)終止：

(一)完成章程規(guī)定的宗旨的；

(二)無法按照章程規(guī)定的宗旨繼續(xù)從事公益活動(dòng)的；

(三)基金會(huì)發(fā)生分立、合并的；

第四十八條本基金會(huì)終止，應(yīng)在理事會(huì)表決通過后15日內(nèi)，報(bào)業(yè)務(wù)主管單位審查同意。經(jīng)業(yè)務(wù)主管單位審查同意后15日內(nèi)，向登記管理機(jī)關(guān)申請(qǐng)注銷登記。

第四十九條本基金會(huì)辦理注銷登記前，應(yīng)當(dāng)在登記管理機(jī)關(guān)、業(yè)務(wù)主管單位的指導(dǎo)下成立清算組織，完成清算工作。

本基金會(huì)應(yīng)當(dāng)自清算結(jié)束之日起15日內(nèi)向登記管理機(jī)關(guān)辦理注銷登記；在清算期間不開展清算以外的活動(dòng)。

第五十條本基金會(huì)注銷后的剩余財(cái)產(chǎn)，應(yīng)當(dāng)在業(yè)務(wù)主管單位和登記管理機(jī)關(guān)的監(jiān)督下，通過以下方式用于公益目的：

轉(zhuǎn)由其他性質(zhì)一致、宗旨相近的基金會(huì)開展符合捐贈(zèng)方意愿的公益活動(dòng)。

無法按照上述方式處理的，由登記管理機(jī)關(guān)組織捐贈(zèng)給與本基金會(huì)性質(zhì)、宗旨相同的社會(huì)公益組織，并向社會(huì)公告。

Article45The Foundation shall accept the yearly inspection by the Registration Authority in accordance with the Regulations on the Management of Foundations.

Article46The Foundation shall announce its work report in media designated by the Registration Authority after its yearly inspection to take queries and monitoring from the general public.

Article47The Foundation shall terminate when one of the following happens:

47.1 Mission of the Foundation is finished;

47.2 No longer able to carry out commonweal activities in accordance with the mission as stipulated in the Constitution;

47.3 A separation or merge of the Foundation.

Article48The Foundation shall report its termination, within 15 days of a resolution to that effect what is passed by the Council, to the Responsible Authority for its approval, and shall report to the Registration Authority, within 15 days of the approval of the Responsible Authority, to cancel the registration of the Foundation.

Article49The Foundation shall set up a special group to clear all its accounts under the guidance of the Registration Authority and the Responsible Authority before the cancellation of its registration.

The Foundation shall go to cancel its registration within 15 days of the ending of final accounts clearance, and during the clearance period no other activities shall be conducted.

Article50Property left after the termination of the Foundation shall be dealt with, under the supervision of the Responsible and Registration Authorities, in the following way for the public good:

To transfer funds with specified purposes by donors to foundations that are similar in nature and in their mission to the Foundation to carry out activities required by donors.

In case the property cannot be dealt with in the above mentioned way, the Registration Authority of the Foundation shall donate the property left to other similar commonweal organizations and shall make a public announcement on the donation.
